Vendor Agreement

Parties to the Agreement

This Agreement governs the relationship between:

Diamondland Platform, operated by the legal entity
DIAMOND LAND PRIVATE LIMITED,
registered at:
1ST FLOOR, FLAT NO. 102, Shri Apartment,
Mahindra Pura Main Road,
Suparsva Apartment Thobhasheri, Mahidharpura,
Surat, Gujarat — 395003, India,

and the Vendor — an individual or legal entity registered on the website https://diamond.land for the purpose of listing and selling products.

1. General Provisions

1. By accessing or using the Platform, the Vendor acknowledges and agrees to be legally bound by the terms of this Agreement.
2. The Vendor must comply with applicable laws regarding the trade of gemstones and jewelry.
3. All transactions conducted through the Platform are legally binding.

2. Registration and Account Activation

1. To list products, the Vendor must register and provide legal and tax documentation.
2. Required documents include certificates, licenses, and proof of legal origin of the stones.
3. The Platform reserves the right to verify submitted data and suspend accounts if discrepancies are found.
4. Products can only be listed after KYC verification.

3. Vendor Responsibilities

1. Provide accurate and complete product information.
2. Ensure legal ownership and certification (GIA, IGI, HRD, GCAL, MSU, etc.).
3. Handle shipping with proper packaging, labeling, and insurance procedures.
4. Avoid posting misleading content or engaging in any actions harmful to the Platform’s reputation.

4. Product Listings and Sales

1. Vendors are responsible for creating product listings (descriptions, photos, pricing).
2. The Platform may moderate or remove listings that violate policies.
3. All prices must include the Platform’s commission.
4. The Vendor is responsible for intellectual property rights associated with their content.

5. Commission and Settlements

1. Commission rates are specified individually in the Vendor’s account.
2. Payouts are made after the Buyer confirms receipt of goods.
3. The settlement currency shall be determined in accordance with the RBI exchange rate applicable on the date of payment.

6. Returns and Warranty

1. The Vendor must accept returns in accordance with applicable law and the Platform’s policies.
2. Any quality-related disputes shall be resolved based on the expert evaluation of an accredited gemological laboratory, whose decision shall be considered final and binding.

7. Liability

1. The Platform is not liable for the Vendor’s actions toward Buyers.
2. The Vendor shall compensate for losses or claims arising from legal or regulatory violations.

8. Confidentiality

1. The Vendor shall not disclose any information related to the Platform, its clients, or partners.
2. Use of the Platform’s intellectual property without written permission is prohibited.
3. Confidentiality obligations remain in force for five years after termination of cooperation.

9. Product Origin Verification

1. The Vendor must provide supporting documentation such as Kimberley Process certificates and import/export declarations.

10. Logistics and Risk

1. The Vendor bears full responsibility for the product until it is handed over to the courier.
2. Insurance and logistics terms must be coordinated with the Platform.

11. Changes to the Agreement

1. The Platform reserves the right to amend this Agreement.
2. Updates take effect immediately upon publication on the website.

12. Final Provisions

1. Disputes are resolved through negotiation or in the courts of Surat, Gujarat, India.
2. This Agreement enters into force upon account activation.
3. This Agreement, including its electronic form, constitutes a legally binding document with full legal effect.
